These Terms of Use and Sales (the “Terms”) apply to all services provided by GROUPE IA GROUPE INTELLIGENCE AUGMENTÉE (“Arkange”, “we”) to professional clients (the “Client”). They prevail over any conflicting terms from the Client unless otherwise agreed in writing.
Arkange provides professional services including consulting, enablement, training, and the design/deployment of systems (including AI agents), tailored to the Client’s needs. Scope, deliverables, timelines and execution terms are defined in a quote, proposal or contract.
Any order requires written acceptance (signed quote, purchase order, or contract). Commercial conditions, including invoicing terms, are defined in the applicable contractual document.
4.1 Arkange obligations
Arkange will use reasonable efforts to perform the services in accordance with the agreed scope. Unless explicitly stated otherwise, Arkange is bound by an obligation of means (best efforts), not an obligation of result.
4.2 Client obligations
The Client provides timely information, access, content and approvals required for delivery and designates a primary point of contact.
Arkange retains ownership of pre-existing materials (methods, templates, components, code, content). Rights on project deliverables may be licensed or transferred under the terms of the contract. Any use beyond the agreed scope requires Arkange’s consent.
Each party agrees to keep non-public information received from the other party confidential during the contract term and for a reasonable period thereafter.
Where applicable, personal data processing is performed in accordance with applicable laws. For any request related to personal data, contact dpo@arkange.io.
Arkange shall not be liable for non-performance resulting from the Client’s breach, force majeure, or an external event. Applicable liability limitations are specified in the contract or quote.
Termination, suspension and end-of-services terms are defined in the contract or quote. If not specified, either party may terminate for a material breach after written notice remains unsuccessful.
These Terms are governed by French law. In case of dispute, courts of Lyon shall have exclusive jurisdiction, subject to mandatory rules.
